Welcome to Axaz Insight Tool ("Service"). These Terms of Service ("Terms") govern your access to and use of the Axaz Insight Tool, a SaaS solution provided by Axaz AS ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entities to these Terms.
1. Definitions
1.1 "Service" refers to the Axaz Insight Tool, a Software-as-a-Service solution provided by the Company.
1.2 "Customer" refers to the entity purchasing and using the Service under this agreement.
1.3 "Authorized Users" are individuals authorized by the Customer to access and use the Service.
1.4 "Subscription Plan" means the pricing and feature tier selected by the Customer.
2. Acceptance of Terms
By accessing or using the Service, the Customer agrees to comply with these Terms. If the Customer does not agree to these Terms, the Service must not be accessed or used.
3. Subscription and License
3.1 The Company grants the Customer a non-exclusive, non-transferable, and revocable license to access and use the Service as per the Subscription Plan.
3.2 The Customer agrees to use the Service solely for internal business purposes.
4. Customer Responsibilities
4.1 The Customer is responsible for the legality and accuracy of data submitted to the Service.
4.2 The Customer is responsible for maintaining the confidentiality of their account credentials and for all activities under their account.
4.3 The Customer is responsible of notifing Axaz immediately of any unauthorized account use or security breach.
5. Service Availability and Support
5.1 The Company will provide service availability and support in accordance with the Service Level Agreement (SLA).
5.2 Scheduled maintenance and downtime are communicated in advance
6. Fees and Payment
6.1 The Customer agrees to pay fees as outlined in the Subscription Plan. All fees are non-refundable unless otherwise agreed.
6.2 Late payments may result in suspension or termination of the Service.
7. Data Privacy and Security
7.1 The Company will process Customer data as outlined in our Data Process agreement (DPA) appendix 1
7.2 The Company will not disclose customer data to third parties, except as required by law or with customer consent.
8. Intellectual Property
8.1 The Service and its associated intellectual property rights remain the property of the Company.
8.2 The Customer’s data remains the property of the Customer.
9. Use of Service
9.1 The services may only be used in accordance with these Terms and applicable laws.

10. Termination
10.1 The Customer may terminate their subscription with 60 days Notice before the next subscription period.
10.2 The Company may terminate access for breach of Terms or non-payment.
10.3 Upon termination, you must stop using the services, and any outstanding fees remain due.
11. Limitation of Liability
The Company is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use the services. The total liability is limited to fees paid by the Customer in the 12 months preceding the claim.
12. Amendments
Axaz reserves the right to update these Terms with 30 days’ notice. Continued use of the services after updates constitutes acceptance of the revised Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of Norway, without regard to conflict of laws principles. Disputes will be resolved in the court of Oslo.
14. Miscellaneous
14.1 The Company is not responsible for delays caused by events beyond its reasonable control.
14.2 These Terms, along with the Subscription Plan and any associated agreements, constitute the entire agreement between the Customer and the Company.
